1. Seller and scope
(1) The seller is Brechel Electronic – Industrial Interface Systems (BE-IIS), proprietor Philipp Brechel, Hindenburgstraße 100/1, 73207 Plochingen, Germany. Email: contact@be-iis.eu. Further details are in the Imprint.
(2) These terms govern purchases of standard products through the BE-IIS webshop by consumers and business customers. Consumer and business status are determined by the purpose for which the customer acts when entering into the contract.
(3) Individually negotiated engineering services and custom development projects require separate agreements.
2. Products and scope of delivery
(1) The relevant product description, revision and individual order confirmation define the delivery.
(2) Interface, evaluation and expansion boards may require separate host hardware, power, cabling, software and customer integration. Unless expressly offered, a ready-to-operate complete system is not included.
(3) Customers integrating products into their own systems are responsible for assessing the requirements applicable to those complete systems. This does not limit statutory rights regarding defects in the products delivered by BE-IIS.
3. Ordering and formation of contract
(1) Website product listings do not constitute binding offers by BE-IIS.
(2) Customers may review and edit their basket, quantities, addresses and any discount code before placing an order.
(3) By using the final button clearly indicating a payment obligation, the customer submits a binding offer to purchase the selected products. A separate request for quotation, clearly labelled as non-binding, does not create a payment obligation.
(4) An automatic acknowledgment only confirms receipt and is not acceptance. BE-IIS may review inventory, destination, shipping and tax treatment. A contract arises only upon a separate, express order confirmation from BE-IIS. If the confirmation changes items, quantities or prices, it constitutes a new offer requiring the customer’s separate acceptance.
(5) BE-IIS stores order and contract data for processing. Essential order details are sent by email; no customer account or permanent online order history is provided.
(6) Available contract languages are German and English, as individually agreed.
4. PayPal authorization and payment
(1) Customers may first authorize a PayPal payment. Authorization alone neither forms a contract nor constitutes capture of the funds.
(2) Following review and acceptance, BE-IIS may capture the authorized, confirmed amount. A reduction may be possible within the existing authorization. Any increase requires fresh, express customer approval.
(3) If an order is rejected or no contract is formed, BE-IIS will void or refrain from capturing the authorization. A temporary hold may remain until released by the payment provider.
(4) Payment options are shown at checkout. PayPal processing is additionally subject to the provider’s terms.
5. Prices, taxes and discounts
(1) Prices may be shown in EUR or USD, as selected by the customer.
(2) Consumers must be shown the legally required tax-inclusive prices and total costs, including applicable shipping, before submitting an order carrying a payment obligation. Net prices may additionally be shown to business customers.
(3) Tax treatment depends on applicable law, delivery country, customer type and, where relevant, satisfactory verification of a VAT identification number. Import taxes or customs charges may arise unless expressly included.
(4) Discount codes apply only on their stated terms and may be limited by expiry or destination address. Unless otherwise stated, a percentage discount applies to net goods value, not shipping. Combining codes is permitted only when expressly offered.
6. Availability and delivery
(1) Delivery is restricted to destinations offered at checkout or individually confirmed. See Shipping and Payment.
(2) Displayed inventory is not a binding reservation. Lead times in working days generally refer to estimated dispatch readiness unless otherwise specified.
(3) Shipping charges must be stated before the customer places an order carrying a payment obligation. Where availability or a shipping price cannot be established, a separate quotation is required instead.
(4) Statutory rules on the transfer of shipping risk to consumers apply. BE-IIS does not shift transport risk to consumers by a blanket clause.
7. Retention of title
Goods remain the property of BE-IIS until full payment, where legally permissible.
8. Statutory defect rights and liability
(1) Statutory conformity and defect remedies apply. Describing hardware as an evaluation or development product does not remove mandatory consumer rights.
(2) Statutory liability rules apply without an additional general limitation in these terms.
9. Consumer withdrawal
Consumers generally have a statutory right of withdrawal in distance contracts, subject to legal exceptions. See Withdrawal Information and the model form. The statutory consumer withdrawal right does not apply to business customers.
10. Governing law and jurisdiction
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Consumers retain the protection of mandatory provisions of the law of their habitual residence.
(2) Where the customer is a merchant, legal person under public law or special public-law fund and the agreement is valid, the exclusive venue is the court with jurisdiction over BE-IIS’s business location in Plochingen, Germany. Mandatory domestic and international jurisdiction rules prevail.
(3) Statutory rules on jurisdiction apply to consumers.
11. Dispute resolution and final provisions
Information about consumer dispute resolution will be provided in accordance with applicable statutory information duties. The discontinued EU Online Dispute Resolution platform is not linked.
If a provision is invalid, applicable statutory rules govern in its place; the remaining provisions are unaffected.
